Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Edge Analyzer platform ("Service"), operated by Edge Analyzer Solutions ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Edge Analyzer is a web-based performance tracking and trade journaling platform designed for futures traders. The Service provides:

• Consolidated performance dashboards for multiple trading accounts
• Trade journaling with rich text, image, and video support
• AI-powered trading insights and pattern analysis
• Broker connections for automatic trade data synchronization (Rithmic, Tradovate, ProjectX)
• CSV trade data import
• Copy trading across multiple broker connections
• Purchase and payout tracking for prop firm ROI calculation
• Alert and notification system for prop firm rule monitoring
• Goal tracking and playbook documentation
• Mentor sharing with read-only access controls
• Community features including public leaderboard, trader profiles, and performance badges
• Affiliate program with referral link tracking and commission payouts

3. Platform Classification

• We do not hold, manage, or have custody of your funds
• We do not execute trades on your behalf (copy trading replicates your own trades across your own accounts through your own broker connections)
• We do not provide investment advice, trading recommendations, or financial guidance
• AI insights are data analysis based on your historical trading patterns, not investment recommendations
• You are solely responsible for all trading decisions and their outcomes

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

5. Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must not share your account with others or allow unauthorized access
• You are responsible for all activity under your account
• You must notify us immediately at support@edgeanalyzer.com if you suspect unauthorized access

6. Subscription and Payment

6.1 Plans and Pricing

Edge Analyzer offers subscription plans as described on our pricing page. Current plans include:

Prices are listed on our pricing page and may change with 30 days' advance notice to existing subscribers.

6.2 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or yearly)
• Payment is processed through Paddle, our Merchant of Record, which handles payment processing, tax calculation, and invoicing
• We do not store your payment details
• You authorize recurring charges to your payment method

6.3 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No prorated refunds are provided for partial billing periods
• Your data is retained after cancellation and can be accessed if you resubscribe

6.4 Free Trial

• The free trial provides full Pro plan access for 14 days
• No credit card is required to start a trial
• If you do not subscribe before the trial ends, your access transitions to a limited state
• We do not charge you automatically after the trial

7. Broker Connections and Data

7.1 Your Broker Credentials

When you connect a broker account (Rithmic, Tradovate, or ProjectX), you authorize Edge Analyzer to access your trade data through the broker's API.

• Rithmic: Your username and password are encrypted with AES-256 and stored securely. They are used solely to establish a data connection for trade synchronization.
• Tradovate: We use OAuth 2.0 and never receive your password. We receive and manage access tokens to read your trade data.
• ProjectX: Your API key is encrypted with AES-256 and stored securely. It is used solely to access your trade data.

7.2 Persistent Connections

When you enable a broker connection, Edge Analyzer establishes and maintains a persistent server-side connection to your broker's API. This connection continues to run on our servers even when you are not logged in to Edge Analyzer, ensuring your trades are synced in real time. To fully stop a connection, you must disable or delete it from your Connections page.

7.3 Data Access

We access your broker data for the purpose of providing the Service — importing trades, calculating metrics, generating insights, and enabling copy trading. We do not use your broker credentials for any other purpose.

7.4 Copy Trading

When you configure copy trading, you authorize Edge Analyzer to place trades on your target accounts based on trades executed on your source account. You are solely responsible for:

• Configuring copy trading groups correctly
• Ensuring target accounts have sufficient margin and comply with broker/prop firm rules
• Understanding the risks of automated trade replication
• Monitoring copy trading activity

7.5 Session Termination by Brokers

Your broker may terminate your data connection at any time — for example, if you log in from another application using the same credentials, if your broker account is suspended, or at the broker's discretion. When this happens, Edge Analyzer will stop syncing data for that connection and display a "Session Terminated" status. You may need to re-enable the connection or contact your broker. We are not responsible for session terminations initiated by your broker.

7.6 Data Accuracy

We make reasonable efforts to ensure trade data is accurately synced. However, we do not guarantee the accuracy, completeness, or timeliness of data received from brokers. You should verify critical data against your broker's records.

8. Community Features

8.1 Opt-In Participation

Community features (leaderboard, public profiles, badges) are entirely opt-in. By opting in, you agree to have your username and aggregated performance data displayed publicly.

8.2 Username Policy

• Usernames must be unique and between 3–20 alphanumeric characters
• Usernames must not impersonate other users, brands, or public figures
• Offensive, misleading, or inappropriate usernames may be removed without notice
• We reserve the right to reclaim usernames that violate this policy

8.3 Public Data

When you opt in, your username, aggregated P&L performance, and badges are publicly visible. Individual trade details, journal entries, account balances, and personal information are never shared publicly.

8.4 Leaderboard Rankings

Leaderboard rankings are based on aggregated P&L data and are provided for informational and community engagement purposes only. Rankings do not constitute endorsement, investment advice, or a guarantee of future performance. Past performance displayed on the leaderboard is not indicative of future results.

9. Affiliate Program

9.1 Eligibility

The affiliate program is available to users with an active paid subscription (Basic or Pro). Free trial and canceled subscribers are not eligible.

9.2 Commissions

• Affiliates earn 10% recurring commission on each payment made by referred subscribers
• Commissions are calculated on the payment amount in USD
• Commissions are auto-approved upon payment and may be reversed by an administrator if found to be fraudulent
• Commissions are generated for subscription payments processed through Paddle

9.3 Referral Attribution

• Attribution uses cookie-based last-click tracking
• A referral cookie is set when a user visits with your referral link (?ref=CODE)
• The referral is attributed when the referred user completes email verification
• Self-referrals are prohibited and prevented at the database level

9.4 Payouts

• Minimum payout threshold is $100
• Payout requests are reviewed and approved by our team
• We reserve the right to reject payout requests if we suspect fraud or abuse
• Only one payout request may be pending at a time
• The payout system may be temporarily unavailable during updates

9.5 Prohibited Conduct

• Generating fraudulent clicks, signups, or referrals
• Using paid advertising that misrepresents Edge Analyzer
• Creating fake accounts to generate self-referrals
• Any form of referral manipulation or abuse

We reserve the right to suspend or deactivate affiliate accounts and withhold commissions if we detect prohibited conduct.

9.6 Program Changes

We may modify commission rates, payout thresholds, or program terms with 30 days' advance notice. We may discontinue the affiliate program at any time with 30 days' notice, during which pending commissions will be honored.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service, other accounts, or systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to develop a competing product
• Sell, resell, or commercially exploit your account access
• Submit false, misleading, or fraudulent information
• Use automated tools (bots, scrapers) to access the Service except through provided APIs
• Violate any applicable laws, regulations, or third-party rights

11. Intellectual Property

• The Service, including all software, design, content, and documentation, is owned by us and protected by intellectual property laws
• You retain ownership of your data (trade history, journal entries, notes, uploaded media)
• You grant us a limited license to process your data solely for providing the Service
• "Edge Analyzer" and associated logos are our trademarks and may not be used without permission

12. Third-Party Data Providers

Edge Analyzer integrates with third-party brokers and data providers to deliver its services. By using these integrations, you acknowledge:

Trading Platform by Rithmic™ is a trademark of Rithmic, LLC. Trade data received through Rithmic connections is the property of Rithmic, LLC and its licensors.
• Tradovate: Trade data received through Tradovate connections is subject to Tradovate's terms of service.
• ProjectX: Trade data received through ProjectX connections is subject to ProjectX's terms of service.

Third-party providers may change, suspend, or discontinue their APIs or services at any time. We are not responsible for the availability, accuracy, or reliability of third-party data or services.

13. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described in the Privacy Policy.

14. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Trade data will be accurate, complete, or timely
• AI insights will be correct or lead to profitable trading
• The Service will meet your specific requirements

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Specific disclaimers:

• We are not liable for trading losses resulting from use of the Service, AI insights, or copy trading
• We are not liable for broker connection failures, data sync delays, or inaccurate broker data
• We are not liable for prop firm account breaches, blown accounts, or rule violations
• We are not liable for losses arising from unauthorized access to your account if you failed to maintain credential security
• We are not liable for leaderboard rankings, community data accuracy, or decisions made based on community content
• We are not liable for affiliate commission calculations or payout processing delays

16. Indemnification

You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

17. Termination

• You may terminate your account at any time by canceling your subscription and requesting account deletion
• We may suspend or terminate your account if you violate these Terms
• We may discontinue the Service with 30 days' advance notice
• Upon termination, your right to use the Service ceases
• We may retain certain data as required by law or for legitimate business purposes

18. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of the State of Wyoming, United States.
